have an exciting opportunity for an attorney to join our Corporate
Legal team as VP, Corporate and Compliance Counsel. This individual
will provide legal counsel and support in connection with corporate
and financing transactions, legal entity maintenance and corporate
governance, and regulatory and policy compliance with a focus on
global trade and customs, anti-bribery and ethics, and consumer
product safety compliance. What You'll Do
- Provide legal support on corporate finance and governance
matters, working closely and collaboratively with all parts of the
organization, including finance and internal audit.
- Draft, review, and negotiate a variety of finance and
governance documents, term sheets, and corporate agreements with
experience in debt and equity transactions.
- Maintain corporate and legal entity structure, compliance and
governance.
- Advise on best practices and compliance with corporate and
global regulatory matters with a focus on trade and customs,
anti-bribery and ethics, and consumer product safety compliance,
working closely and collaboratively with supply chain and
logistics, customs, and compliance teams.
- Assist in developing, maintaining and enhancing new processes,
policies, and procedures and implementing compliance training and
monitoring in areas such as global trade and customs, human rights
labor standards, anti-bribery and ethics, and consumer product
safety.
- Partner with outside counsel, as needed, with an eye toward
driving business goals and providing counseling, while effectively
managing time and cost. What You'll Bring
- Juris Doctor (JD) from an accredited law school.
- Membership with good standing in at least one U.S. State
Bar.
- 15+ years of in-house legal practice experience.
- Corporate finance and corporate governance expertise.
- Global compliance legal experience.
- Capable of interacting with, and establishing the respect and
confidence of, senior business leaders.
- Excellent written, oral and interpersonal communication
skills.
- Ability to influence and provide timely and effective legal and
business advice and support at all organizational levels.
- Demonstrated ability to manage a high volume of matters at any
given time, work well under pressure, successfully handle and
prioritize multiple competing assignments, and effectively manage
deadlines.
- Business-oriented problem solver and a flexible team player,
with ability to partner across departments in order to provide
legal support that will enable teams to do business
effectively.
- Ability to analyze complex matters and propose creative and
practical solutions, even in ambiguous situations.
- Strong interpersonal, written, and verbal communication skills
to interface effectively with individuals at various levels.

Demands
- Ability to sit and work at a computer keyboard for extended
periods of time.
- Ability to stoop, kneel, bend at the waist, and reach
daily.
- Able to lift and move up to 25 pounds occasionally.
- Must utilize visual acuity, speech and hearing, hand and eye
coordination and manual dexterity necessary to operate a computer
and office equipment.
- Hours regularly 40 hours per week, as work dictates, from a
hybrid office location near our New York, Texas or California
Corporate Office or a remote location. Benefits This role is

position is $182,400-$243,200 and may increase to $304,000
depending on merit, length of service with the Company, and other
factors. We take into consideration an individual's skills,
background, and experience in determining final salary. Other
compensation may include a 30% Annual Incentive Plan (AIP) bonus,
and a 30% Long Term Incentive Plan bonus paid out according to
policy. Base pay information is based on market location and may be
subject to prevailing wage laws, if applicable. Note: To perform
